1. Acceptance of Terms

By accessing or using PatchDesign.AI, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service. These terms apply to all visitors, users, and others who access the service.

2. Description of Service

PatchDesign.AI provides an AI-powered patch design tool that allows users to generate custom patch design concepts. Designs generated are for reference and planning purposes. Final production patches are manufactured and fulfilled by our partner manufacturers.

3. Use of the AI Design Tool

The AI design tool is provided free of charge for generating design concepts. You may use generated designs to order custom patches through our platform. You may not use the tool to generate content that is unlawful, harmful, offensive, or infringes on third-party intellectual property rights.

4. Intellectual Property

Designs you create using our tool are yours to use for ordering patches. PatchDesign.AI retains rights to the AI models and platform technology. You grant us a license to display your designs as needed to process your order. We retain the right to use anonymized design data to improve our AI models.

5. Marketing, Promotion, and Social Media Advertising

By creating, submitting, or ordering a design through PatchDesign.AI, you grant PatchDesign.AI a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, display, distribute, and create derivative works of your design (and any photos or renderings of the finished patch) for marketing, promotional, and advertising purposes. This includes, without limitation, organic posts and paid advertisements on social media platforms (such as Instagram, Facebook, TikTok, Pinterest, LinkedIn, X (Twitter), YouTube, and similar networks), as well as our website and gallery, email newsletters, blog content, case studies, and printed or digital marketing materials. We will not publish your name, contact information, or order details alongside your design without your express consent. If you do not want your design used in our marketing or advertising, email [email protected] before placing your order, or at any time afterward, and we will honor your opt-out request and remove the design from active marketing channels going forward.

6. Patch Orders, Payments, Returns, and Defects

Order requests submitted through the platform are subject to review and confirmation by our team. Pricing is confirmed via email before production begins. We reserve the right to decline orders for any reason. Custom-printed patches are made-to-order to your specifications and, as such, are non-refundable once production has begun.

If your patches arrive with a manufacturing defect — including incorrect color, misprinted artwork, defective stitching or backing, or a quantity error attributable to us — contact [email protected] within 14 days of delivery with photos of the issue and a brief description. We will replace the affected patches at no charge or, at our sole discretion, issue a refund for the affected items. We do not accept returns or refunds for design changes requested after production has begun, fit or preference issues, or damage caused by improper care or use.

7. Delivery and Production

Standard production and delivery typically takes about 10 business days from artwork approval, shipping included. We are not responsible for delays caused by shipping carriers or events outside our control. Delivery times are estimates and not guaranteed.

8. Subscription Plans and Billing

PatchDesign.AI offers paid subscription plans (Starter, Pro, and Scale) for ongoing access to the platform. Subscription pricing, billing frequency (monthly), and plan features are presented at the point of sign-up and confirmed in your account dashboard. By subscribing, you authorize PatchDesign.AI and our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel. Charges will appear on your statement as "PATCHDESIGN.AI" or a similar descriptor.

Subscription fees are charged in advance for the upcoming billing period and are non-refundable except as required by law. We do not offer prorated refunds for partial billing periods, plan downgrades, or unused service time. If a payment fails, we may retry the charge over the following 7 days; if we cannot successfully collect payment, your subscription may be suspended or cancelled and access to paid features will be revoked until the account is brought current.

We reserve the right to change subscription pricing with at least 30 days' written notice, sent to the email address associated with your account. Pricing changes take effect on your next billing cycle after the notice period.

9. Free Trial Period

New paid subscriptions may be eligible for a 30-day free trial. During the trial, you have full access to the features of the plan you selected and will not be charged. To start the trial, you must complete the sign-up flow and, where applicable, provide a valid payment method.

If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and you will be charged the full plan price for the upcoming billing period using the payment method on file. To cancel during the trial without being charged, follow the cancellation steps in Section 10 before the trial end date shown in your account dashboard. Trials are limited to one per customer and per email address.

10. Subscription Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard or by emailing [email protected]. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until that date, and you will not be charged again for that subscription thereafter.

Refunds for paid subscription periods are not provided, including for: (a) unused portions of the current billing period; (b) accidental renewals you did not cancel before a free trial converted; (c) reductions in usage during a billing period; or (d) lack of usage. We may, at our sole discretion, offer credits or partial refunds in exceptional circumstances (such as prolonged service outages clearly attributable to us, or verified billing errors).

Upon cancellation, your access to paid features ends at the end of the current billing period. Account data may be retained for up to 90 days after cancellation to allow reactivation; after that period, it may be deleted in accordance with our Privacy Policy.

11. Service Availability

PatchDesign.AI strives to provide reliable service but does not guarantee uninterrupted access. The service is provided on an "as available" basis. We may perform scheduled maintenance, deploy updates, or experience unplanned downtime that temporarily limits access to features. We do not offer service-level credits for outages on standard plans, and outages are not grounds for refund except where required by law. Critical outages affecting paying subscribers will be communicated via email or in-app notice when reasonably possible.

Third-party services we depend on — including AI providers, payment processors, hosting infrastructure, and shipping carriers — may experience their own outages or service changes that affect our service. We are not responsible for issues attributable to such third-party services.

12. Limitation of Liability

PatchDesign.AI is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from use of the service. Our total liability for any claim shall not exceed the amount paid for the specific order or, for subscriptions, the most recent monthly subscription fee, giving rise to the claim.

13. Prohibited Uses

You may not use our service to: (a) infringe on copyrights or trademarks; (b) generate obscene, violent, or hateful content; (c) attempt to reverse engineer the AI models; (d) use automated tools to scrape or overload the platform; (e) impersonate others.

14. Changes to Terms

We may modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the updated Terms. We will provide notice of material changes by updating the date at the top of this page.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration. For questions about these Terms, contact us at [email protected].

16. Lowest Price Guarantee

We commit to the lowest publicly available price for an equivalent custom patch. If, before placing your order or within 14 days after, you find a lower, currently-active, publicly listed price for an equivalent patch — same material (embroidered, woven, PVC 2D/3D, printed/sublimated, chenille), same finished size, same quantity, same backing, and comparable lead time — from a US-based custom-patch manufacturer with a public product or quote page, email [email protected] with a link or screenshot showing the competing price (including the configuration and any minimums or setup fees), and we will match it.

We match the total landed price (per-patch price plus any setup, digitizing, or shipping fees the competitor charges) so the comparison is apples-to-apples. The guarantee covers verifiable, publicly accessible prices only — it does not cover one-off private quotes, employee/affiliate discounts, time-limited promo codes that have already expired, marketplace listings from individual resellers (e.g. eBay, Etsy individual sellers), prices that violate the competitor's own posted minimums, or offers that include materially different quality (e.g. lower stitch count, thinner backing, fewer thread colors). For orders already in production, the match is honored as a credit toward your next order rather than a refund on the current run. We reserve the right to verify the competing offer before confirming the match.

17. Referral Program ($15 Gift / $15 Get)

Customers who have placed at least one paid order may receive a unique referral code to share. When a new customer redeems a referral code at checkout, both sides receive a $15 benefit subject to the following terms.

(a) New-customer discount. The redeemed code applies $15 off the new customer's first paid order with PatchDesign.AI. The discount requires a minimum order subtotal of $50 (before tax and shipping), is limited to one redemption per customer, and only applies to customers who have not previously placed a paid order with us. The referral discount cannot be combined with another promotion code in the same checkout session.

(b) Referrer credit. The referring customer receives a $15 account credit after the referee's order has shipped from our production facility. Credits are non-cash store credit, are not redeemable for money, and are automatically applied to the referring customer's next paid order at checkout. Credits do not expire. The referrer-side credit is forfeited if the referee's order is canceled or refunded.

(c) Eligibility, caps, and fraud controls. Referral codes are non-transferable and cannot be self-redeemed (a customer cannot use their own code, including via a different email). We may cap the total credit a single referrer can earn at $300 per rolling 12-month period; credits above the cap are held for review and may be granted at our discretion. We reserve the right to suspend the program, void codes or credits, or refuse to apply credits where we reasonably believe the program is being misused (including coordinated self-referral, throwaway accounts, or other forms of abuse).

(d) Program changes. We may modify, suspend, or terminate the referral program at any time, including changing the discount amount, the minimum order, the annual cap, or the eligibility rules. Existing earned credits will be honored under the terms in effect at the time they were earned.

18. Submission Disclaimer

DISCLAIMER: PatchDesign.ai assumes by submission of your design to us, you have legal ownership of any and all logos, designs, text, graphics, trademarks and copyrights, and the selection and arrangement thereof. You also guarantee that you have the legal right to reproduce and/or have reproduced the above-mentioned properties. PatchDesign.ai assumes no legal liability in any trademark or copyright infringement disputes. You also acknowledge that, by submitting a design, you grant PatchDesign.ai the right to feature the design (and photos of the finished patch) in our marketing and advertising materials, including paid and organic social media advertising, as further described in Section 5.
