Affiliate Program Terms

1. Eligibility

1.1The Affiliate Program is open to individuals and businesses worldwide who are at least 18 years old and legally able to enter into binding contracts. No website is required.

1.2You may participate only where doing so is lawful and where we can legally pay you. We may decline or end participation where sanctions, export-control, or payment-provider restrictions apply.

1.3We may approve, refuse, suspend, or end any Affiliate's participation at our discretion, including for brand fit, audience quality, fraud risk, or breach of these Affiliate Terms.

2. Your Referral Link and Tracking

2.1After you sign up, you get a unique referral link through Endorsely, our affiliate tracking platform. Clicks, referred customers, commissions, and payouts appear in your Endorsely dashboard.

2.2Attribution window. A referral is credited to you when a customer clicks your link and places their first paid order within 90 days of that click. If a customer clicks more than one affiliate link, the tracking method set in Endorsely decides which affiliate gets credit.

2.3Referred customer. A "Referred Customer" is a new PatchDesign customer whose first paid order is attributed to you under Section 2.2 or 2.4. A customer who has already placed a paid order with us, or who has an open quote with us, before your referral is not a new customer.

2.4Quote and B2B orders. Some orders, such as bulk, multi-design, or business orders, are finalized through a manual quote or invoice rather than online checkout. To receive credit for these, either (a) the buyer starts from your referral link, or (b) you email the buyer's organization name and contact person to [email protected] before we issue a quote to that buyer. We will confirm registration by email. Registration expires if the buyer places no paid order within 90 days.

2.5Our tracking records and our reasonable decisions about attribution are final. If you believe a referral was missed, tell us within 30 days of the order and we will review it in good faith.

3. Commissions

3.1Rate. You earn USD 50 for each Qualifying Order placed through online checkout, and USD 50 per design for a multi-design order finalized through a manual quote or invoice, as set out in Section 3.3.

3.2Qualifying Order. A "Qualifying Order" is a patch order from a Referred Customer that is fully paid, not canceled, refunded, or charged back, and placed within 12 months of that customer's first paid order. Reorders within the 12-month period count. Orders after the 12-month period do not earn commission.

3.3How orders are counted. A paid order placed through online checkout earns one commission, whatever its size, number of designs, or number of line items. A multi-design bulk order finalized through a manual quote or invoice (Section 2.4) earns USD 50 per design; for example, four different patch designs earn USD 200. A design is one distinct piece of artwork: different sizes, quantities, or colors of the same artwork count as one design. Splitting one purchase into several orders, or one design into variants, to increase commission is not allowed; we may combine such orders or designs into one.

3.4Not commissionable: orders from you, your employer, your household, or companies you own or control (self-referrals); orders from existing customers under Section 2.3; samples, free designs, and replacements; shipping fees and taxes; and orders later refunded or charged back.

3.5If a Qualifying Order is refunded or charged back after the commission was paid, we may deduct that commission from your future earnings.

4. Payouts

4.1Clearance. A commission stays pending until 30 days after the customer receives the patches, as shown by the carrier's delivery confirmation, to allow for refunds and chargebacks. It then becomes payable and is paid in the next monthly payout.

4.2Schedule and method. PatchDesign.AI pays payable commissions monthly in USD through Endorsely by PayPal. You must keep a PayPal account that can receive USD payments. We may offer other methods at our option. You are responsible for any PayPal, currency-conversion, or bank fees charged on your side.

4.3Minimum. If your payable balance is under USD 50, it carries over to the next month.

4.4We are not responsible for payments that are delayed or lost because of incorrect payment details you provided.

5. Tax Forms

5.1Before your first payout, you must submit a valid IRS tax form: Form W-9 for U.S. persons, or Form W-8BEN (individuals) or W-8BEN-E (entities) for non-U.S. persons. We will not release payouts until a valid form is on file.

5.2We issue Form 1099-NEC to U.S. Affiliates where U.S. law requires. You are solely responsible for reporting your commission income and paying any taxes due in your country. We withhold only as required by law.

6. Promotion Rules

6.1Disclosure. Wherever you share your link, clearly disclose that you may earn a commission, for example "(affiliate link)". Follow the U.S. FTC Endorsement Guides and any similar rules where you and your audience are located.

6.2Accurate claims only. Describe PatchDesign accurately. Use only claims we publish, such as the facts listed on our Affiliates page. Do not promise prices, discounts, delivery dates, or guarantees we have not published or confirmed to you in writing.

6.3Prohibited:

• (a)spam, including unsolicited bulk email, messages, or comments;
• (b)bidding on "PatchDesign," "PatchDesign.AI," or similar terms in paid search, or using them in domains, social handles, or ad accounts;
• (c)presenting yourself as PatchDesign, or as our employee, agent, or official reseller;
• (d)cookie stuffing, forced clicks, hidden iframes, bots, click farms, or any fake or automated traffic;
• (e)paying or rewarding people to click, sign up, or order (including cash-back or rebate schemes) unless we approve it in writing;
• (f)coupon or deal sites, or sharing PatchDesign discount codes that were not issued to you;
• (g)promoting PatchDesign on content that is illegal, hateful, sexually explicit, or harmful to our brand;
• (h)submitting false buyer information or registering buyers you have not actually introduced.

7. Fraud and Enforcement

7.1We may review any referral, order, or traffic source, and may ask you for reasonable information about where your referrals come from. Please respond within 10 business days.

7.2If we reasonably find a breach of Sections 3.4 or 6.3, or fraud, we may withhold or cancel pending commissions, reverse commissions paid on the affected orders, and end your participation.

7.3Commissions you earned legitimately before termination are not forfeited because of an unrelated issue.

8. Brand Use

We give you a limited, revocable, non-exclusive license to use the PatchDesign name, logo, and materials from our Media Kit solely to promote your referral link under these Affiliate Terms. Do not change our logos or create confusingly similar names or marks. All intellectual property stays with PatchDesign.

9. Customer Data and Privacy

Referred Customers are PatchDesign's customers. You may not collect, store, sell, or use customer data received through the Affiliate Program for any other purpose. If you submit buyer contact details under Section 2.4, you confirm you have the buyer's permission to share them with us. Follow applicable privacy and anti-spam laws, including CAN-SPAM, GDPR, and CCPA/CPRA where they apply to you.

10. Relationship

You are an independent contractor. These Affiliate Terms do not create an employment, agency, partnership, joint-venture, or franchise relationship. You cannot bind PatchDesign or accept orders for us, and you pay your own expenses.

11. Changes and Termination

11.1We may change these Affiliate Terms, commission rates, or the Affiliate Program. We will announce material changes by email or in the Endorsely dashboard at least 14 days before they take effect. Commissions on orders placed before the effective date follow the terms that applied when the order was placed.

11.2Either party may end participation at any time by email. After termination, stop using your link and our brand materials. We will pay commissions on Qualifying Orders placed before termination once they clear, unless they are withheld under Section 7.

12. Disclaimers and Limitation of Liability

The Affiliate Program is provided "as is." We do not guarantee any level of earnings, traffic, or conversion, or that tracking will be uninterrupted or error-free. To the maximum extent permitted by law, PatchDesign's total liability to you for the Affiliate Program is limited to the commissions payable to you in the 6 months before the claim arose. Neither party is liable for indirect, incidental, consequential, or punitive damages, or lost profits.

13. Indemnity

You will indemnify and hold PatchDesign harmless from third-party claims, losses, and reasonable legal fees arising from your promotion methods, your content, your breach of these Affiliate Terms, or your violation of law.

14. Governing Law and Disputes

These Affiliate Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. If a dispute cannot be resolved through good-faith discussion within 30 days, it will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Los Angeles County, California, and conducted in English. Each party waives any right to a jury trial or class action.

15. Entire Agreement

These Affiliate Terms, with our Terms of Service and Privacy Policy, are the entire agreement about the Affiliate Program. Written confirmations we send you by email (for example, a buyer registration under Section 2.4) form part of them. If any provision is unenforceable, the rest remains in effect. You may not assign these Affiliate Terms without our written consent.
