Terms of Service

1. Acceptance of Terms

By accessing or using PatchDesign.AI, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service. These terms apply to all visitors, users, and others who access the service.

2. Description of Service

PatchDesign.AI provides an AI-powered patch design tool that allows users to generate custom patch design concepts. Designs generated are for reference and planning purposes. Final production patches are manufactured and fulfilled by our partner manufacturers.

3. Use of the AI Design Tool

The AI design tool is provided free of charge for generating design concepts. You may use generated designs to order custom patches through our platform, and for any other purpose, as Section 4 describes. You may not use the tool to generate content that is unlawful, harmful, offensive, or infringes on third-party intellectual property rights.

4. Intellectual Property and Ownership of Your Design

As between you and PatchDesign.AI, you own the designs you create with our tool, and we assign to you any rights we may hold in them. You may use, reproduce, modify, display, sell, and license your design for any purpose, commercial or otherwise, and you are under no obligation to order patches from us in order to do so. PatchDesign.AI retains rights to the AI models, the platform, and the software that produced the design - not to the design itself. Your ownership does not extend to material that belongs to someone else: images you upload, logos, trademarks, and anything drawn from a referenced brand or website remain their owners' property (see Section 18). Free previews and downloads carry a light PatchDesign.AI watermark; the clean production file comes with a paid order. Separately, you grant us the limited license described in Section 5. It is non-exclusive, so it takes nothing away from you. We also retain the right to use anonymized design data to improve our AI models.

5. Our License to Use Your Design

By creating, submitting, or ordering a design through PatchDesign.AI, you grant PatchDesign.AI a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your design (and any photos or renderings of the finished patch), and to adapt it for the format at hand (for example by cropping, resizing, or photographing it), in order to show and promote our service. That covers organic posts and paid advertisements on social media platforms (such as Instagram, Facebook, TikTok, Pinterest, LinkedIn, X (Twitter), YouTube, and similar networks), our website and public design gallery, email newsletters, blog content, case studies, printed or digital marketing materials, product catalogs, showroom and display pieces, trade-show displays, and marketing materials we give our partners and resellers. This license is for showing what we make. It does not allow us to sell your design, or patches or other products bearing it, to anyone else, or to license your design to a third party for their own use. Designs created in a version of our tool that a partner or manufacturer runs on its own website are excluded from this license; we use those only to operate the service and fulfill orders. Because this license is non-exclusive, you keep full ownership under Section 4 and remain free to use the same design however you wish. We will not publish your name, contact information, or order details alongside your design without your express consent. The license continues until you opt out: if you do not want your design used, email [email protected], before placing your order or at any time afterward, and we will stop using it and remove it from the channels we control going forward. Materials already printed or distributed before your request cannot be recalled.

6. Patch Orders, Payments, Returns, and Defects

Order requests submitted through the platform are subject to review and confirmation by our team. Pricing is confirmed via email before production begins. We reserve the right to decline orders for any reason. Custom-printed patches are made-to-order to your specifications and, as such, are non-refundable once the full production run has begun, as described below.

Sample orders. A sample-only order is one, two, or three patches of the same design, made on the production machines at one flat fee, offered in two forms: mailed to you, or photographed and emailed to you without the patches themselves being sent. The fee depends on the patch type and is $60 mailed or $30 photographed for Embroidered, Printed/Sublimated + Embroidery, and Leather patches; $75 or $45 for Woven; $105 or $75 for Chenille; $125 or $95 for PVC 2D and PVC 3D. It includes artwork, production and, on a mailed sample, shipping - there is no separate artwork, setup, or shipping charge on a sample order. A sample-only order is available on every patch type, up to 5 inches on the longest side; above that size there is no sample-only order, but a single patch can still be ordered as a regular order, and its price is confirmed with you by email before anything is charged. Because the patch is genuinely made before you decide whether to proceed, the sample fee is not refundable, and the cancellation ladder described below does not apply to a sample-only order. If you later order the same design as a production run, $30 of the sample fee is credited against that order.

Artwork and revisions. Artwork - digitizing your design and preparing the production-ready proof - is included at no separate charge when your order proceeds, together with two rounds of revisions on that artwork. Revisions cover adjustments to the design you submitted, such as text corrections, color changes, sizing, and layout. Replacing it with a substantially different design requires the artwork to be produced from scratch and is billed as new artwork at $30 per order. Design iterations made in the AI design tool before you order are unlimited and free.

Cancellation after artwork work. If you cancel a paid order after that artwork work has started but before production begins, we will refund your payment less a $30 artwork fee per order, which covers the design work already completed on your behalf. If you cancel before any artwork work has started, your payment is refunded in full.

Setup costs and cancellation during production. This paragraph describes a production run; a sample-only order is covered above. Production begins with a one-time setup step: an embroidered order starts with a sewn sample, and a woven or PVC order starts with a mold. That setup cost is $30 for an embroidered sample, $45 for a woven mold, and $95 for a PVC mold. It is already included in the order price quoted to you and is never charged on top of it. Your order remains cancellable through that step. If you cancel after the sample or mold has been made, we will refund your payment less the setup cost for the tooling already made - that figure only, with no artwork fee charged in addition. Once the full production run has begun, beyond the initial sample or mold, the order can no longer be cancelled or refunded. Chenille, Printed/Sublimated + Embroidery, and Leather patches have no separate setup step and carry no setup cost.

If your patches arrive with a manufacturing defect - including incorrect color, misprinted artwork, defective stitching or backing, or a quantity error attributable to us - contact [email protected] within 14 days of delivery with photos of the issue and a brief description. We will replace the affected patches at no charge or, at our sole discretion, issue a refund for the affected items. We do not accept returns or refunds on custom patches for design changes requested after production has begun, fit or preference issues, or damage caused by improper care or use. Ready-made stock patches are not custom goods and have their own return policy in Section 6A.

6A. Stock Patches: Returns and Shipping

Stock patches are the ready-made packs sold at a fixed price on our Stock Patches pages. They are not made to order, and the cancellation terms in Section 6 do not apply to them.

Shipping. Stock patches ship free; no shipping charge is added at checkout. A pre-ordered pack ships on the date shown on its page, and we email you tracking when it does.

Returns. You may return a stock pack within 30 days of delivery for a full refund of the price you paid. Return shipping is free: email [email protected] with your order number and we will send you a prepaid return label. Patches must come back unused, and not sewn, ironed, or otherwise applied. We refund to your original payment method once the return arrives. A pack that arrives damaged or incorrect is replaced or refunded at no cost through the same process.

7. Delivery and Production

Standard production typically takes about 10 business days from artwork approval to the parcel leaving us, shipping included, assuming you approve the first sample. That is roughly 3 business days for the pre-production sample and 5 for production, plus dispatch, with carrier transit time on top; each additional sample round adds about 3 business days. We are not responsible for delays caused by shipping carriers or events outside our control. Delivery times are estimates and not guaranteed.

8. Subscription Plans and Billing

PatchDesign.AI offers paid subscription plans (Starter, Pro, and Scale) for ongoing access to the platform. Subscription pricing, billing frequency (monthly), and plan features are presented at the point of sign-up and confirmed in your account dashboard. By subscribing, you authorize PatchDesign.AI and our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel. Charges will appear on your statement as "PATCHDESIGN.AI" or a similar descriptor.

Subscription fees are charged in advance for the upcoming billing period and are non-refundable except as required by law. We do not offer prorated refunds for partial billing periods, plan downgrades, or unused service time. If a payment fails, we may retry the charge over the following 7 days; if we cannot successfully collect payment, your subscription may be suspended or cancelled and access to paid features will be revoked until the account is brought current.

We reserve the right to change subscription pricing with at least 30 days' written notice, sent to the email address associated with your account. Pricing changes take effect on your next billing cycle after the notice period.

Design limits and fair use. Each plan includes the number of AI designs per month shown on our pricing pages and in your dashboard (Free 20, Starter 200, Pro 1,000, Scale 1,500). Every image the AI generates counts as one design, including edits and regenerations. When a plan's designs for the month are used, the embedded designer pauses until the first day of the next month unless you move to a larger plan; above Scale, we offer Enterprise plans on request. Every manufacturer account also carries its own daily and monthly design volume limits, set in the dashboard (by default 100 designs a day and 1,500 a month; none on Enterprise unless the account sets them); the designer pauses when one is reached, until the next day or month, or until you raise it. Every plan is for genuine use by visitors to your own website: we may limit or suspend generation for automated, scripted, or resold use, or for traffic that is not genuine customer use.

Ending a subscription on our side. We may end any subscription for any reason on 30 days' written notice, or immediately for a material breach of these Terms, including the use limits above. If we end a subscription for a reason other than a breach, we will refund the unused portion of any billing period you have already paid for.

9. Free Trial Period

New paid subscriptions may be eligible for a 30-day free trial. During the trial, you have full access to the features of the plan you selected and will not be charged. To start the trial, you must complete the sign-up flow and, where applicable, provide a valid payment method.

If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and you will be charged the full plan price for the upcoming billing period using the payment method on file. To cancel during the trial without being charged, follow the cancellation steps in Section 10 before the trial end date shown in your account dashboard. Trials are limited to one per customer and per email address.

10. Subscription Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard or by emailing [email protected]. Cancellation takes effect at the end of your current billing period - you will retain access to paid features until that date, and you will not be charged again for that subscription thereafter.

Refunds for paid subscription periods are not provided, including for: (a) unused portions of the current billing period; (b) accidental renewals you did not cancel before a free trial converted; (c) reductions in usage during a billing period; or (d) lack of usage. We may, at our sole discretion, offer credits or partial refunds in exceptional circumstances (such as prolonged service outages clearly attributable to us, or verified billing errors).

Upon cancellation, your access to paid features ends at the end of the current billing period. Account data may be retained for up to 90 days after cancellation to allow reactivation; after that period, it may be deleted in accordance with our Privacy Policy.

11. Service Availability

PatchDesign.AI strives to provide reliable service but does not guarantee uninterrupted access. The service is provided on an "as available" basis. We may perform scheduled maintenance, deploy updates, or experience unplanned downtime that temporarily limits access to features. We do not offer service-level credits for outages on standard plans, and outages are not grounds for refund except where required by law. Critical outages affecting paying subscribers will be communicated via email or in-app notice when reasonably possible.

Third-party services we depend on - including AI providers, payment processors, hosting infrastructure, and shipping carriers - may experience their own outages or service changes that affect our service. We are not responsible for issues attributable to such third-party services.

12. Limitation of Liability

PatchDesign.AI is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from use of the service. Our total liability for any claim shall not exceed the amount paid for the specific order or, for subscriptions, the most recent monthly subscription fee, giving rise to the claim.

13. Prohibited Uses

You may not use our service to: (a) infringe on copyrights or trademarks; (b) generate obscene, violent, or hateful content; (c) attempt to reverse engineer the AI models; (d) use automated tools to scrape or overload the platform; (e) impersonate others.

14. Changes to Terms

We may modify these Terms at any time. Continued use of the service after changes constitutes acceptance of the updated Terms. We will provide notice of material changes by updating the date at the top of this page.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

If you have a dispute with us, email [email protected] with a short description and your order or design number, if you have one. We will try to resolve it with you within 30 days.

If we cannot, you or we may file an individual claim in the state or federal courts located in Los Angeles County, California. You and we consent to the personal jurisdiction of those courts and to venue there.

You or we may instead bring an individual claim in small-claims court: in Los Angeles County, or in the small-claims court where you live if that court can hear the claim.

These Terms do not require arbitration. Nothing here waives a right that cannot be waived under the law that applies to you.

16. Lowest Price Guarantee

We commit to the lowest publicly available price for an equivalent custom patch. If, before placing your order or within 14 days after, you find a lower, currently-active, publicly listed price for an equivalent patch - same material (embroidered, woven, PVC 2D/3D, printed/sublimated, chenille), same finished size, same quantity, same backing, and comparable lead time - from a US-based custom-patch manufacturer with a public product or quote page, email [email protected] with a link or screenshot showing the competing price (including the configuration and any minimums or setup fees), and we will match it.

We match the total landed price (per-patch price plus any setup, digitizing, or shipping fees the competitor charges) so the comparison is apples-to-apples. The guarantee covers verifiable, publicly accessible prices only - it does not cover one-off private quotes, employee/affiliate discounts, time-limited promo codes that have already expired, marketplace listings from individual resellers (e.g. eBay, Etsy individual sellers), prices that violate the competitor's own posted minimums, or offers that include materially different quality (e.g. lower stitch count, thinner backing, fewer thread colors). For orders already in production, the match is honored as a credit toward your next order rather than a refund on the current run. We reserve the right to verify the competing offer before confirming the match.

17. Referral Program ($15 Gift / $15 Get)

Customers who have placed at least one paid order may receive a unique referral code to share. When a new customer redeems a referral code at checkout, both sides receive a $15 benefit subject to the following terms.

(a) New-customer discount. The redeemed code applies $15 off the new customer's first paid order with PatchDesign.AI. The discount is limited to one redemption per customer, and only applies to customers who have not previously placed a paid order with us. The referral discount is combined automatically with our first-order discount (currently 15% off), so a new customer receives both on the same first order; it cannot be combined with any other promotion code.

(b) Referrer credit. The referring customer receives a $15 account credit after the referee's order has shipped from our production facility. Credits are non-cash store credit, are not redeemable for money, and are automatically applied to the referring customer's next paid order at checkout. Credits do not expire. The referrer-side credit is forfeited if the referee's order is canceled or refunded.

(c) Eligibility, caps, and fraud controls. Referral codes are non-transferable and cannot be self-redeemed (a customer cannot use their own code, including via a different email). We may cap the total credit a single referrer can earn at $300 per rolling 12-month period; credits above the cap are held for review and may be granted at our discretion. We reserve the right to suspend the program, void codes or credits, or refuse to apply credits where we reasonably believe the program is being misused (including coordinated self-referral, throwaway accounts, or other forms of abuse).

(d) Program changes. We may modify, suspend, or terminate the referral program at any time, including changing the discount amount, the annual cap, or the eligibility rules. Existing earned credits will be honored under the terms in effect at the time they were earned.

18. Submission Disclaimer

DISCLAIMER: PatchDesign.ai assumes by submission of your design to us, you have legal ownership of any and all logos, designs, text, graphics, trademarks and copyrights, and the selection and arrangement thereof. You also guarantee that you have the legal right to reproduce and/or have reproduced the above-mentioned properties. PatchDesign.ai assumes no legal liability in any trademark or copyright infringement disputes. You also acknowledge that, by submitting a design, you grant PatchDesign.ai the limited license described in Section 5 to feature the design (and photos of the finished patch) in our marketing and advertising, including paid and organic social media advertising.

19. Copyright Complaints (DMCA)

We respect the intellectual property rights of others. If you believe that content available through PatchDesign.ai, including a design, an uploaded image, or a shared design page, infringes your copyright, you may send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent:

Your notice must include: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing, with enough information for us to locate it (a link is best); (d) your name, mailing address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

When we receive a complete notice, we will remove or disable access to the material and notify the user who provided it. If you believe material was removed by mistake or misidentification, you may send a counter-notice to the same agent including: your physical or electronic signature; identification of the material and where it appeared before removal; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and your name, address, and telephone number, with a statement that you consent to the jurisdiction of the federal district court for your address (or, if outside the United States, any judicial district in which we may be found) and will accept service of process from the person who submitted the original notice. We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the complainant tells us it has filed a court action.

Repeat infringers. We will, in appropriate circumstances, disable or terminate the accounts, design access, and partner or embed access of users who are repeat infringers.

Knowingly misrepresenting that material is infringing, or that it was removed by mistake, may make you liable for damages under 17 U.S.C. § 512(f). This section applies to copyright only; for trademark or other concerns, contact us at the same email address.
